As of October 2026, our fees for forming a new company in Türkiye and running it for its first year start at USD 4,950 (the Professional package); in the worked example below, the first year comes to USD 9,600 with the set-up add-ons and the second year to USD 4,950. Government charges are extra: trade registry, notary and chamber charges change every year, so we confirm the current amounts in writing before you commit; the chamber’s registration fee and annual dues are each set by law at 10% to 50% of the gross monthly minimum wage.

How much does it cost to open a company in Türkiye?
Our fees in year one
The Professional package (USD 4,950 per year, plus government fees) includes formation without a power of attorney, an Istanbul virtual office address, the e-Tebligat application, the tax number application for one foreign partner, bookkeeping for up to 500 transactions, the VAT, withholding, provisional and annual corporate tax returns, and a quarterly consultation with your accountant. It runs for 12 months from its start date. If no founder can come to Türkiye to sign, formation under a power of attorney costs the full USD 3,000 on top.
Some set-up items are in neither package. Most new companies need the first five:
- e-Ledger set-up, USD 550. Since 1 January 2025 every Ltd. Şti. and A.Ş. keeps its journal and general ledger as an e-ledger.
- Financial seal, USD 550, Kamu SM’s certificate fee included. To obtain one, the company needs a manager who is a Turkish citizen or a foreign national with a Turkish foreigner identity number (starting with 9, for example issued with a residence permit).
- e-Invoice application, USD 550. Since 1 January 2026 a company issues its invoices electronically, as e-Invoices or e-Archive invoices, apart from narrow exceptions. We register you for both.
- Lease stamp duty filing, USD 250, including for the virtual office agreement.
- Beneficial ownership notification, USD 1,250. A new company reports the individuals who ultimately own or control it within one month.
- Bank account application, USD 1,500, optional, including the company stamp. You choose the bank, and approval rests with the bank.
- Tax number for each additional foreign partner, USD 500 per person.
A worked example
Assumptions: a limited company owned by one shareholder in mainland China or Hong Kong, a founder who signs in Istanbul, our virtual office as the address, a manager who meets the financial seal condition, no staff in year one, and our help with the bank account.
| Our fee | USD |
|---|---|
| Professional package | 4,950 |
| e-Ledger set-up | 550 |
| Financial seal | 550 |
| e-Invoice application | 550 |
| Lease stamp duty filing | 250 |
| Beneficial ownership notification | 1,250 |
| Bank account application | 1,500 |
| Year one | 9,600 |
Without the bank account application, year one is USD 8,100. Under a power of attorney, add USD 3,000. In year two the same company pays USD 4,950 in our fees while it stays within 500 transactions a year, plus a stamp duty filing if it signs a new lease.
Government charges in year one
- Trade registry fees. The trade registry charges a fixed fee for registering the business and trade name of a capital company (an Ltd. Şti. or A.Ş.) and another for each person authorised to represent it. The amounts are revalued every January, so we confirm them in writing before you commit.
- Competition Authority share: 0.04% of the capital, so TRY 20 on TRY 50,000 or TRY 100 on TRY 250,000.
- Stamp duty on the lease: 1.89 per thousand of the total rent for the whole term, arising when the lease is signed. A two-year lease at TRY 30,000 a month carries TRY 1,360.80.
- Notary, sworn translation and the Trade Registry Gazette announcement in Türkiye, plus apostille, notary and courier costs at home. These depend on your documents, so we confirm them in writing before you commit.
Is the minimum capital a cost?
No. The minimum capital is money the company commits to raise, and it stays the company’s money for its business. Since 1 January 2024 it has been TRY 50,000 for an Ltd. Şti. and TRY 250,000 for an A.Ş. Guides that quote TRY 10,000 for a limited company show the minimum before 2024.
- Ltd. Şti.: nothing is paid before registration; the capital is paid within 24 months after registration.
- A.Ş.: at least 25% of the cash capital is paid before registration, the rest within 24 months.
Compare the two in Ltd. Şti. or A.Ş.?, and a branch or liaison office in company structure in Türkiye.
What does a Turkish company cost every year after?
The package. It renews every 12 months. Basic (USD 3,750) is designed for companies that are already registered; it has no virtual office address and covers up to 100 transactions a year. A company that keeps our Istanbul address stays on Professional at USD 4,950. If you outgrow your package’s limit, you can add 2,000 transactions for USD 500 or 5,000 for USD 1,000 a year.
Chamber dues. Every company in the trade registry must register with its local chamber. By law, the registration fee and the annual dues are each between 10% and 50% of the gross monthly minimum wage; the chamber’s tariff and the grade it gives your company set the exact figure, which we confirm in writing.
- No annual dues are charged for the year in which the registration fee is paid.
- Annual dues are paid in two equal instalments, in June and October.
- The chamber also collects additional dues of 0.5% of the commercial balance-sheet profit shown in the corporate tax return. A company with a loss pays none for that year.
Financial seal renewal. Kamu SM issues the financial seal as a three-year certificate, so plan a renewal before it runs out; if we handle it, the fee is the same USD 550.
e-Invoice. e-Invoice becomes mandatory from 1 July of the following year once a year’s gross sales reach TRY 3 million, or TRY 500,000 for online sellers and real estate or motor vehicle businesses. If you choose a special integrator, its subscription is agreed between your company and the integrator.
Payroll. From the month of your first hire, our payroll fee is USD 300 a month for 1 to 3 employees, USD 550 for 4 to 50 and USD 1,250 for more than 50, or USD 3,600, 6,600 or 15,000 a year. Salaries and employer social security premiums come on top; the 2026 gross minimum wage is TRY 33,030 a month. Staff from mainland China or Hong Kong need a work permit or an exemption first: see work permits and social security.
Changes. The trade registry charges a fee to register a change, such as a capital increase, and another for each new person authorised to represent the company; we confirm the amounts in writing. A capital increase also triggers the 0.04% Competition Authority share on the added amount. A new foreign partner needs a tax number (USD 500), and a change in the beneficial owners a new notification (USD 1,250).
Large groups only. The CbCR notification and the global minimum tax notification cost USD 750 each.
Do I need an accountant in Türkiye?
No Turkish law requires a contract with an accountant. What the Tax Procedure Law (repeated article 227) and its communiqués require is a signature: companies below annual size thresholds must have their corporate tax, VAT and withholding returns signed by a licensed accountant (SM or SMMM). A new company is normally far below those thresholds, so in practice it needs one from the start, which is why both packages are built around bookkeeping and tax filing.
Does a new company need an independent audit?
Only above the size thresholds. For periods starting on or after 1 January 2026, the general thresholds are TRY 500 million of total assets, TRY 1 billion of annual net sales and 150 employees. A company becomes subject to audit from the following period once it exceeds at least two of the three in two consecutive periods; companies in certain listed sectors have their own rules. A new company is normally far below them.
Older companies: capital top-up by 31 December 2027
A company formed before 2024 with less than TRY 50,000 (Ltd. Şti.) or TRY 250,000 (A.Ş.) of capital must increase it to the new minimum, or it is deemed dissolved. The deadline was 31 December 2026; a Ministry of Trade communiqué published on 17 October 2026 extended it to 31 December 2027. The law allows at most two one-year extensions, so one more is possible.
The increase costs the 0.04% Competition Authority share on the added amount, the trade registry fee for the change and notary and registry costs, which we confirm in writing. For this increase the general assembly needs no meeting quorum and decides by a majority of the votes present.
Taxes are a separate line
In brief: corporate tax at 25%, which cannot be less than 10% of corporate income before deductions and exemptions (the domestic minimum corporate tax; a company starting activity for the first time is exempt for its first three accounting periods); VAT at a general rate of 20%; and 15% withholding on dividends paid to a foreign parent company, which a tax treaty can reduce. See Turkish taxes for foreign-owned companies, the domestic minimum corporate tax and dividends and profit repatriation.
